Dissolve a Washington Corporation

If you want to dissolve a Washington corporation, you must undertake a two-step process. You must first file with the Department of Revenue, which will confirm that you have paid all of your business taxes. Second, you must file with the Secretary of State, which will dissolve your Washington corporation.

Follow the steps below to dissolve a Washington corporation.

  1. Submit Revenue Clearance Certificate Application

    You must begin the dissolution process by filing a Revenue Clearance Certificate Application to the Washington Department of Revenue. You cannot file this application online, but you can email it to the Department of Revenue, which we advise instead of snail-mail.

    You will need both your Washington corporation EIN and your UBI number to file this application.

    Once you have completed the Revenue Clearance Certificate Application, email it to DORCD@dor.wa.gov.

  2. Await Processing

    Once the Department of Revenue has processed your application, it will issue a Revenue Clearance Certificate. There is no way to expedite this process. Processing generally takes up to ten business days. If there are problems with your form, or if additional information is needed, the Department of Revenue will contact you.

  3. File Articles of Dissolution

    Once you have your approval from the Department of Revenue, you can fill out Articles of Dissolution. There is no fee for this filing, but if you would like the processing expedited you must include a $50 expedite fee.

    Articles of Dissolution are filed with the Secretary of State. You must include with this filing your Revenue Clearance Certificate. Your filing will be rejected without it.

    Washington Articles of Dissolution must be submitted by mail. There is no online or email submission.

  4. Wait for Processing

    Normal processing takes up to a month (sometimes longer). If you expedited your filing, the dissolution will processed within two to three business days.

  5. Contact Your Registered Agent

    While this is merely a courtesy, it is good practice to contact your Washington registered agent and inform them that you have dissolved your corporation. Failure to do so may result in charges for services you no longer need.
