Dissolve a Washington LLC
Dissolution is the process of legally terminating your business with the Washington Secretary of State. To dissolve a Washington LLC, you must file a Certificate of Dissolution. There is no fee for this filing.
After you dissolve a Washington LLC, your company will no longer be able to conduct business (aside from wind-up measures necessary to close your company).
You cannot dissolve a Washington LLC online. You must fill out the form and mail it to the Secretary of State’s office.
Certificate of Dissolution
You will need your UBI number for this filing. The Certificate of Dissolution includes the following sections:

Section 1: Name of LLC
Print your company’s name as it is recorded with the Secretary of State. Do not misspell the name or leave any portion out.

Section 2: Mailing Address
When your Washington LLC dissolution is approved, the Secretary of State will send you a stamped copy of the Certificate of Dissolution certifying that the dissolution has been processed. List in this section the address where you want this stamped copy sent.

Section 3: LLC is Hereby Dissolved
There is nothing to fill-in on this section.

Section 4: Signature
A member or manager of your LLC must sign this document.

If you wish to expedite the filing, you must include a $50 expedite fee. Mark the outside of your mailing envelope: “EXPEDITE”.
If you have not already done so, you should also contact your Washington registered agent and inform them of your dissolution. This courtesy will ensure you are not charged for services you no longer need.
